Education and Work Experience

Holds a Bachelor of Laws from China University of Political Science and Law and a Master of Laws from Victoria University of Wellington, New Zealand. Serves as an Adjunct Professor at the Law School of China University of Political Science and Law. he completed one year training program at the University of London, Eversheds London Office, Essex Court Chambers, and Johnson Stock and Master in Hong Kong under the Lord Chancellor’s Training Scheme (2003-2004). In 2007, he was sent by the Jiangsu Provincial Government for international business law training at the University of Maryland, USA. In 2013, he was selected by the All China Lawyers Association for legal training at the University of Hamburg, Germany, including internship at Clifford Chance Munich Office.

Mr. Song currently serves as the Chairman of the Partners' Meeting of Jiangsu Yun Ya Law Firm, Vice President of the Civil Law Research Society of the Jiangsu Law Society, and a member of the Jiangsu Provincial Judge and Prosecutor Selection Committee. He is also an arbitrator for the China International Economic and Trade Arbitration Commission (CIETAC), Beijing Arbitration Commission, Shanghai International Economic and Trade Arbitration Commission / Shanghai International Arbitration Center (SHIAC), Shenzhen Court of International Arbitration (SCIA), Nanjing Arbitration Commission, and Wuxi Arbitration Commission. He previously held positions including Vice President of the Jiangsu Provincial Lawyers Association (2013-2023), President of the Wuxi Lawyers Association (2012-2020).

Honors

Awarded a Personal Second-Class Merit by the Provincial Justice Department. Recognized in the Ministry of Justice's Foreign-related Legal Talent Pool and the All China Lawyers Association's Leading Foreign-related Lawyer Talent Pool. Honors include "Outstanding Individual in the Ministry of Justice's Campaign for Excellence in the Lawyer Industry," "National Excellent Lawyer," "Jiangsu Excellent Lawyer," "Jiangsu Top Ten Foreign-related Lawyer," "Wuxi Advanced Individual in Serving the Strong Industrial City Initiative," and "Wuxi Top Ten Legal Figures."

A successful case of his was published in the Supreme People's Court's Gazette, and his professional achievements were featured on the front page of the Legal Daily. Multiple cases have been reported in Legal Daily and Xinhua Daily. For his work serving the COMAC C919 large aircraft project, he was named one of the "Most Noteworthy Figures in China's Lawyer Industry" in 2017. He is ranked in Band 2 for Great China Region: Corporate/Commercial (Jiangsu) by the international legal rating agency Chambers & Partners.

1.Provided specialized legal services for Chinese investors regarding control issues, bankruptcy, mortgage rights, and asset preservation involving a large Thai enterprise.
2.Provided specialized legal services for a US IT project involving Chinese investors, including CFIUS review, transaction structure for indirect listing, and legality assessment.
3.Provided full-process legal services for an acquisition project worth 140 million RMB between a Belgian company and a Hong Kong parts sales and service company, including due diligence, deal structuring, contract negotiation, document drafting, execution, and post-merger integration.
4.Represented the seller in providing cross-border listing, sale, contract negotiation, document drafting, execution, and foreign exchange control services for the acquisition of a Dutch technology company involving debt assumption.
5.Represented AVIC in contract negotiations and the establishment of a joint venture company with US-based Rockwell Collins for the Integrated Surveillance System project within the C919 program, reported by Legal Daily and Xinhua Daily.
6.Represented German company HAWE in negotiations for a RMB 1 billion investment project in Wuxi Xishan Development Zone, handling document drafting and project approval.
7.Provided full-scope legal services for RMB 1 billion textile machinery investment project (a major Jiangsu project) of Belgian company Van de Wiele in Wuxi.
8.Engaged by Greenland Holdings to handle a RMB 150 million debt and guarantee dispute with Wuzhou International, including negotiations and execution involving a construction-in-progress asset swap.
9.Successfully represented defendant Zhenfa Company in an equity investment dispute with investors including Ningbo Huajian, achieving favorable judgments at the Chongqing High Court and the Supreme Court.
10.Provided specialized legal services for a Jiangsu pharmaceutical company's acquisition of exoskeleton robotics companies in New Zealand, the UK, and the US via indirect cross-border share swap, recognized as a Top Ten Foreign-related Case in Jiangsu by the Jiangsu Provincial Department of Justice and Department of Commerce.
11.Represented the German listed company Norma in the global acquisition of Parker's connector business in China, establishing a project company.
12.Provided legal services for GE Healthcare's acquisition and merger of two medical device enterprises in Shanghai and Wuxi.
13.Provided legal services for the restructuring of two foreign-invested subsidiaries in Jiangsu for German company EMAG.
14.Provided specialized legal services for German company Hoerbiger in Changzhou and Taizhou, covering government negotiations, foreign-invested enterprise law, commercial contracts, plant leasing, encouraged project policies, and customs matters for import/export trade.
15.Provided legal services for German company LEONI regarding the merger and division of its Chinese subsidiaries, as well as IP, project investment, and contract review outsourcing services.
16.Provided legal services for London-listed company Bodycote for project investments in Wuxi, Kunshan, Jinan, and Taicang, covering government investment condition negotiations, land purchase, plant construction, labor, equipment import, standard commercial contract formulation, and equity changes.
17.Provided legal services for a Jiangsu solar manufacturer pursuing significant accounts receivable in the Aachen Court, Germany.
18.Represented Jiangsu Far East Cable Co., Ltd. in a successful independent guarantee fraud dispute exceeding USD 5 million with Qatar's PLI Company at the Jiangsu High Court. The case was reported by Legal Daily, featured on the cover of the US DCW magazine, recognized as an outstanding case by the Supreme Court, and included in the All China Lawyers Association's "Collection of Outstanding Foreign-related Legal Service Cases."

Academic Publications

1.Authored the English book Cross-Border M&A in China, published by LexisNexis in 2009, analyzing legal issues in foreign acquisitions of Chinese enterprises, highlighting differences from foreign M&A, particularly the impact of foreign exchange controls and labor laws.
2."Analysis of Foreign Exchange Control Legal Issues in Payment for Acquisitions of Domestic Enterprises by Foreign Investors" won the top prize at the 7th East China Lawyers Forum, the first prize for outstanding legal research achievements (2007-2012) from the Wuxi Law Society, was recognized as an outstanding paper by the Jiangsu Lawyers Association, and published in the collection Excellence Comes from Thoughtby Nanjing Normal University Press.
3."A Preliminary Exploration of Guarantee Issues in Acquisitions of Domestic Enterprises by Foreign Investors" was recognized as a 2012 Jiangsu Provincial Outstanding Lawyers' Paper and published in Shandong Justice, Issue 6, 2012.
4."On the Unique Role of Lawyer Non-Litigation Business in Legal System Construction" won the second prize in the Wuxi Law Society's "Four Wuxi Constructions and Legal Guarantee Forum" (2013) and the third prize in the 6th "China Wuxi Legal Construction Forum" (2013) jointly held by Wuxi Municipal Party Committee, Municipal Government, and Legal Daily.
5.Presented the paper "Challenges and Countermeasures for Chinese Lawyers in the Belt and Road Initiative" at the "China-UK Rule of Law Forum" organized by the China Law Society in November 2016.
6.Organized and authored the Jiangsu Province Foreign-related Lawyers Research Report in 2017.
7.Completed the research project "Legal Risk Prevention for Overseas Investment in the Photovoltaic Industry" for the Jiangsu Belt and Road Legal Service Research Center in 2017.
